1. Acceptance of Terms

By accessing or using the Client Kudos website (the "Website") and/or engaging our services, you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legal agreement between you ("Client" or "you") and Client Kudos ("we," "us," or "our"). If you do not agree with any of these Terms, you are prohibited from using this Website or our services.

2. Services Provided

Client Kudos provides project-based testimonial services, including the gathering, crafting, and delivery of client testimonials in various formats (e.g., video, audio, written). The specific services included in each project will be outlined in a separate Project Agreement.

3. Project Agreement

Each project undertaken by Client Kudos will be governed by a separate Project Agreement. This agreement will detail the scope of work, deliverables, timelines, and fees for the specific project. In the event of any conflict between these Terms and the Project Agreement, the Project Agreement shall govern.

4. Client Responsibilities

• Cooperation: The Client agrees to cooperate fully with Client Kudos in the provision of the services, including providing timely access to necessary information and personnel.

• Accuracy of Information: The Client is responsible for the accuracy and completeness of any information provided to Client Kudos.

• Consent: The Client is responsible for obtaining and providing to Client Kudos, completed Consent Forms from all participants (interviewees) involved in the testimonial process, prior to the commencement of any work by Client Kudos. Client Kudos will provide the Client with the necessary Consent Forms.

• Review and Approval: The Client will have the opportunity to review and approve all deliverables. Client feedback should be provided in a timely manner.

• Payment: The Client agrees to pay all fees as outlined in the Project Agreement, including the required deposit.

5. Payment Terms

• Deposit: A non-refundable deposit of 70% of the total project fee is required before any work commences.

• Payment Schedule: The remaining balance will be due as outlined in the Project Agreement.

• Currency: All fees are payable in the currency specified in the Project Agreement.

• Late Payment: If the Client fails to make any payment when due, Client Kudos may suspend work on the project until payment is received.

6. Turnaround Time

• General Turnaround: The typical turnaround time for project completion is 10 business days from the commencement of the project, which will be defined as the date that the signed contract and NDA, the 70% deposit and the completed consent forms have been received by Client Kudos.

• Project-Specific Timelines: Larger projects may require additional time. Client Kudos will provide an estimated delivery timeframe in the Project Agreement. We aim to deliver larger projects within one working month.

• Timeline Adjustments: Client Kudos reserves the right to make reasonable adjustments to project timelines due to unforeseen circumstances or factors beyond our control. We will communicate any significant changes to the Client as soon as practicable.

7. Intellectual Property

• Client Content: Any materials provided by the Client to Client Kudos remain the Client's intellectual property.

• Testimonial Content: Upon final payment, the Client will own the rights to the final testimonial content produced by Client Kudos, as outlined in the Project Agreement.

• Usage Rights: Client Kudos retains the right to use the final testimonial content for promotional purposes, unless otherwise agreed in writing with the Client.

8. Confidentiality

Client Kudos and the Client agree to hold each other's confidential information in strict confidence. This includes any information shared during the project, as detailed in the Non-Disclosure Agreement (NDA) signed by both parties.

9. Limitation of Liability

To the fullest extent permitted by law, Client Kudos shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the services provided, even if Client Kudos has been advised of the possibility of such damages. Our total liability to the Client for any claim arising out of or relating to the services shall be limited to the fees paid by the Client for the specific project.

10. Indemnification

The Client agrees to indemnify and hold Client Kudos harmless from any claims, losses, or damages, including reasonable legal fees, arising out of or relating to the Client's breach of these Terms or the Project Agreement, or the Client's use of the testimonial content.

11. Termination

• By Client: The Client may terminate a Project Agreement with written notice. However, the deposit shall be non-refundable.

• By Client Kudos: Client Kudos may terminate a Project Agreement if the Client breaches these Terms or the Project Agreement, or fails to provide necessary cooperation.

• Effects of Termination: Upon termination, the Client will be responsible for paying for all services provided up to the date of termination.

12. Governing Law

These Terms and any Project Agreement shall be governed by and construed in accordance with the laws of South Africa.

13. Amendments

Client Kudos reserves the right to modify these Terms at any time. Any changes will be effective immediately upon posting on the Website. The Client's continued use of the Website or our services after the posting of revised Terms constitutes acceptance of those changes.
